CHICAGO BRIDAL SHOWCASE 2006

 

EXHIBITOR AGREEMENT

 

This Exhibitor Agreement is made on this _________ day of ___________________, 2006, by and between ABC COMMUNICATIONS, Inc. whose address is 958 B Green Bay Road, Glencoe, Illinois 60022, (the Promoter), and ______________________________________________________________________________, whose address is _______________________________________________________________________________, (the Exhibitor.)

 

 

WHEREAS the Promoter is producing a program known as the “CHICAGO BRIDAL SHOWCASE” (the Event) and intends to conduct the Event during certain hours on Sunday, February 26, 2006 at Astoria Banquets (the property), which is located at 1375 West Dundee Road, Buffalo Grove, Illinois, and whereas the Exhibitor wishes to participate in the Event:

 

NOW THEREFORE the Promoter and the Exhibitor do agree as follows:

 

1.                   Date and Time of Event                      

The Event will be conducted at the property on:  February 26, 2006 from 11:00 am  to 3:00 pm.

 

Additionally, the property will be open from 7:00 am to 5:00 pm to allow the Exhibitor to set up and to remove display materials. The Promoter intends to produce the Event on the days and at the times set forth above, but reserves the right to cancel or to postpone the Event to other dates and times.  In the event of cancellation, the Promoter shall reimburse to the Exhibitor all cash payments received by the Promoter from the Exhibitor. In the event of postponement, the Exhibitor has the option of participating or of withdrawing from the contract with return of (96%) of its fees by notifying the Promoter of that decision within ten days of the setting of new dates.

 

2.             Payment                In consideration for the rights extended hereunder to the Exhibitor by the Promoter, the Exhibitor with a 6’ table agrees to pay to the Promoter a non-refundable Reservation Fee of Seven Hundred and Fifty Dollars ($750.00) and signed Exhibitor Agreement is due no later than February 13 2006. For two 6’ tables Exhibitor will pay a fee of Twelve Hundred Dollars ($1,200) with payment due and contract signed by February 13 2006. A fifty (50%) deposit is required with full payment by February 13 2006. The Exhibitor further agrees that it shall, through means best suited to its form of media, through direct mail, or through other means acceptable to the Promoter, produce materials and expend efforts, which are reasonably calculated to promote attendance at the Event by persons or entities selected by the Exhibitor.  The value of the materials produced and the efforts expended in this regard shall be of a retail value not less than that of the Reservation Fee.  Upon the request of the Exhibitor, the Promoter shall, at its sole expense, provide to the Exhibitor creative materials, in the form of invitations and flyers, or other materials to assist the Exhibitor’s efforts to promote the Event. The Promoter will prepare and print a directory of all exhibitors. Display advertising will be available in this directory for an additional charge.

 


3.             Use of the Property.            During the term of the Event, the Promoter agrees to allocate to the Exhibitor, and the Exhibitor agrees to accept, such area of the property as the Promoter, in its sole discretion, designates for use by the Exhibitor as its place of exhibition and grants to the Exhibitor, during the term of the Event, the right to exhibit its materials, skills, arts, services, and products in such place of exhibition.  The place of exhibition shall be approximately six (6') feet in width by eight (8') feet in depth. It is anticipated that there will be 30 to 40 places of exhibition on the property during the Event, plus common aisles and additional spaces at the discretion of the Promoter.  The Promoter shall provide to each exhibitor at the Event signage of consistent size and style, which shall be used to identify the place of exhibition of each exhibitor, respectively.  The Promoter shall provide to the Exhibitor, for use in the place of exhibition during the term of the Event, two (2) chairs, and a table with fabric table skirts.

 

 

 

4a.           Duties of the Exhibitor       The Exhibitor agrees to conduct its exhibition at the Event in a reasonable manner consistent with the law and with the rights of the Promoter and of other exhibitors at the Event.  Not less than one person shall be assigned by the Exhibitor to be at the Exhibitor’s place of exhibition at all times during the term of the Event.  The Exhibitor shall be solely responsible for the erection, production, maintenance, security, safety, and conduct of its exhibition, and of the Exhibitor’s place of exhibition during the term of the Event and for removal of the exhibition at the end of the Event.  

4b.Duties of the Promoter   The Promoter will provide each Exhibitor with invitations and flyers for distribution to potential attendees.

 

5.             Liability and Damages        The Exhibitor accepts full and sole responsibility and liability for any and all damages to persons and property arising out of its exhibit and of its use and occupancy of the place of exhibition during the term of the Event and during such other times as the Exhibitor may be setting up or dismantling its exhibit and while any part of it is on the property.  The Exhibitor understands that the place of exhibition and all parts of the building and grounds is the property of Astoria Banquets and that neither the property nor the Promoter assumes liability of any kind for the acts or omissions of the Exhibitor in connection with the presence of the Exhibitor at the property.  The Exhibitor further agrees to indemnify and to hold harmless the property and the Promoter (as well as their officers, directors, and employees) against every claim of liability arising out of, or in connection with, the Exhibitor’s presence at the property and its participation in the Event, including, without limitation, all personal injuries and all property damage.

 

6.             Insurance              Not less than seven (7) days before the Event, the Exhibitor shall tender to the Promoter a certified copy of a policy of public liability insurance naming the property and the Promoter, their officers and employees, as additional insured for any damage or liability, which may be sustained arising out of, or in connection with, the Exhibitor’s presence at the property.

Exhibitor’s participation in the Event must have minimum limits of coverage in the following amounts:

 

For personal injury to any one person:                                            $ 1,000,000

For personal injury as a consequence of any one occurrence:    $ 1,000,000

For damage or injury to property                                                      $    100,000

 

Such policy of insurance and the certificate naming the additional insured shall contain a ten (10) day cancellation clause and shall include products liability coverage in the amounts set forth above.

 

7.             Surrender of the Property At the end of the term of the Event, the Exhibitor will immediately yield and give up possession of the place of exhibition, and of all parts of the property used by the Exhibitor, in as good a condition as it was when the Exhibitor first took possession of such locations.  All such locations shall be left by the Exhibitor in a clean and sanitary condition.  In the event of a breach of this provision by the Exhibitor, the Promoter or the Property may clean such places and make the reasonable charge therefor an additional charge to and obligation of the Exhibitor.

 

8.             Complete Agreement          This is the complete agreement between the parties to it.  Any modification to, or amendment of this Exhibitor Agreement shall be invalid unless made in writing and signed by both parties.  All oral and written promises made between the parties prior to the date of this Exhibitor Agreement, and in connection with the use of exhibition space at the Event, are merged in this agreement.
